Terms of Service

Last Updated: October 10, 2026

These Terms of Service ("Terms") are an agreement between you and Studio 56 Inc, a Delaware corporation ("Studio 56," "we," or "us"). They cover studio56.ai, the Studio 56 plug-in, the instruments, effects and other outputs you create, and our related services (the "Service"). By creating an account or using the Service, you agree to these Terms. Our Privacy Policy explains how we handle your information.

Who can use Studio 56

You must be at least 18 years old. You are responsible for giving accurate account information, keeping your sign-in details secure, and everything that happens under your account. Tell us promptly if you think your account has been compromised. Each person may have only one free account.

The Service

Studio 56 is software and hosted services for creating instruments, effects, presets, MIDI files and related outputs by chatting with AI. Replies in the Studio chat are written by AI, not by a person. Parts of the Service run on your computer, and parts run on Studio 56 servers and those of our providers. The Studio 56 plug-in sends us information about how it is used, as our Privacy Policy describes.

The Service is in beta and changes often. Features, AI providers and platforms may change, subject to the plan terms below and any notice the law requires. We don't promise that the Service will always be available or that any feature will stay the same.

Plans, billing and cancellation

Free plan. The free plan makes 2 instruments or effects every 30 days, counted from when you created your account. Making a new one and changing one you have made each count as one of the 2. The free plan also includes 10 new presets and 5 MIDI files in total, which do not renew, and more are part of Pro. Chat and builds also draw on a usage allowance that renews on the same 30 days, and making pauses if it runs out first. We may stop offering the free plan to new accounts; an account created after that makes on Pro, which then starts with a free trial.

Pro plan. Pro is a monthly subscription. The price and what it includes are shown before you pay; today it is $10 per month plus any applicable tax. It renews automatically every month, and we charge your payment method on the same day each month, until you cancel. By subscribing, you authorize these charges. Members who joined during the founding-beta offer at $9.99 per month keep that price while their subscription stays active without a break.

Free trial. We may offer Pro with a free trial to an account that has not had a subscription. Checkout shows how long the trial lasts and the date of the first charge. You give a payment method when the trial starts, and it is charged on the day the trial ends and every month after that, unless you cancel before then. We email you a reminder a day before that first charge. If your trial ends without a payment, because you cancelled or the payment did not go through, what you made during the trial stays saved in your Studio 56 library but does not open or play, in the Studio 56 plug-in or in songs that use it, until you start Pro. Once you have paid for Pro, everything you've made is yours to keep playing, as described under Cancelling.

Who sells your subscription. We may sell subscriptions through Link, a service of Stripe, which then acts as the reseller and seller of record for the payment. When it does, checkout says the purchase is sold through Link, Link charges your payment method, collects any sales tax or VAT, sends your receipts and handles billing questions, and your card statement shows LINK.COM. You can also manage or cancel that subscription at link.com. Link's terms cover the payment; these Terms cover Studio 56 itself.

Cancelling. You can cancel online at any time in Settings > Plans & usage. Cancelling stops future charges. You keep Pro until the end of the month you have already paid for, and then your account moves to the free plan if it has one, with its usage allowance. Everything you've made stays in your Studio 56 library, and you can keep opening and playing it in the Studio 56 plug-in (see "The Studio 56 plug-in" below). Once a year we will remind you of your subscription and how to cancel it.

Price changes. If we change the price of your subscription, we will email you between 7 and 30 days before the new price applies, with the new price and how to cancel. If you don't want to pay the new price, cancel before it applies.

Refunds. Payments are non-refundable, except where the law requires a refund (including the EU and UK right described below), or where we decide to refund you, for example after a Service error.

Taxes. Prices don't include taxes unless we say so. Sales tax, VAT or similar taxes are added at checkout where required.

Usage allowances. Pro includes a usage allowance, not a fixed number of instruments, effects, generations, edits, messages or builds, and the free plan's count of 2 has a usage allowance behind it. Usage is measured by the resources your requests use, which depend on things like how complex the request is, the conversation and project so far, which AI model does the work, custom sound or interface code, and cloud builds. Where available, the Service shows roughly how much of your allowance is left and when it resets.

Work that is delivered uses your allowance, even if you cancelled the request before it finished or you don't like the result, because AI and computing resources have already been used. A piece of work that fails does not use your allowance or count toward the free plan's 2, though earlier work that succeeded, such as the design a failed build was made from, still does. We may restore usage after a verified Service error. We never charge overage fees. When you reach your allowance, hosted work pauses until it resets or you choose to upgrade. Paid allowances reset with your billing month, unused usage does not roll over, and we may apply reasonable temporary limits to protect the Service and other users.

Changes to plans. We may change plans, prices, allowances or how usage is measured for the future. We will not reduce what a paid plan includes during a month you have already paid for, unless it is necessary for security, abuse prevention or legal reasons.

EU and UK consumers

If you are a consumer in the European Union or the United Kingdom, you have the right to withdraw from a paid subscription within 14 days of subscribing, without giving a reason. To do so, email oliver@studio56.ai and say you are withdrawing, or, if Link sold your subscription, ask Link. We will refund you within 14 days. If you asked us to start your subscription straight away, we may keep an amount for the part of the service you received before you withdrew.

Nothing in these Terms removes the protections that the consumer laws of the country where you live give you and that cannot be waived by contract.

Your content and outputs

Your content. You keep ownership of the prompts, files and other content you give the Service.

Your outputs. The music and audio you make with Studio 56 are yours, and we claim no rights in them. The instruments, effects and presets you create are kept in your Studio 56 library for you to play and change inside the Studio 56 plug-in. They are made of Studio 56 software, which stays ours, so creating one gives you the right to use it as these Terms describe and does not give you ownership of it or of its code. Other users may receive similar results, so we can't promise that yours will be the only one like it.

Studio 56 code in your instruments and effects. Your instruments and effects are made of Studio 56 software, such as our sound blocks and the code that runs them. We keep ownership of it and give you a worldwide, royalty-free license to use your instruments and effects inside the Studio 56 plug-in, as described under "The Studio 56 plug-in" below. You may use them in your own music, recordings, performances, videos, streams and commercial releases. The plug-in saves copies of them on your computer so that it can play them, and those copies are for the plug-in alone. Unless we agree in writing, you may not take them out of the plug-in, run them in other software, take them apart, or sell, share, publish or otherwise distribute them as software products, plugin packages or competing services. This limit applies to the instrument and effect software, not to audio you make with it. Sending one with the plug-in's Send button and sharing a song that uses one are allowed, as described under "Instruments and effects you send" and "Songs you share" below.

The Studio 56 plug-in. Your instruments play inside the Studio 56 plug-in, and your effects inside Studio 56 FX, which is installed with it; these Terms call both the Studio 56 plug-in. You install it once in your music software and sign in to it with your Studio 56 account. While you are signed in, it downloads your instruments to your computer and checks your account. Any Studio 56 account, including a free one, can open its own instruments and change their sound. When you are signed out, songs you've made keep playing with their instruments as they were saved, on a computer that already has those instruments, but you can't open instruments or change their sound until you sign in again. If the plug-in has not been online for 90 days, it signs you out the next time it connects, and it works as it does when you are signed out until you sign in again. The plug-in also checks for newer versions of itself and installs them.

Instruments and effects you send. The plug-in's Send button makes a link to an instrument or effect you made, and the link's page shows its name and the name you chose to be shown as its maker. Anyone with the link who signs in to Studio 56 can add it to their library at no cost and play it in their own songs, and you can see how many people have it, but not who they are. By sending it you permit this. It stays in your library, and the limits above on selling and distributing it apply to everyone who has it. If you delete your account, the link stops working, and it keeps playing only on computers that already have it.

Songs you share. A song saved in your music software carries a pass for each Studio 56 instrument and effect in it. Anyone who opens that song while signed in to the Studio 56 plug-in can download that instrument or effect and play it in that song at no cost to their allowance, and you can see how many people have it, but not who they are. If you allow it, they can also keep it for their own songs, which uses part of their allowance and returns some usage to you, up to a limit in each usage period. By sharing a song you permit this. The instrument or effect stays in your library, and the limits above on selling and distributing it apply to everyone who has it. If you delete it or your account, it can no longer be downloaded, and songs keep playing it only on computers that already have it; the same is true of an instrument or effect you kept from someone else's song.

Open-source and third-party components. Outputs may include open-source or third-party code, sounds, presets or other material. Those components stay under their own licenses, which take priority over these Terms for those components. These Terms don't give you ownership of them.

Your permission to us. You give us a non-exclusive, worldwide, royalty-free license to host, store, copy, process, change the format of and display your content and outputs, only as needed to provide, secure and improve the Service, including our team's quality review. We don't use your content to train AI models, and we will ask you before we ever do.

Feedback. If you send us ideas or feedback, we may use them without owing you anything.

Your responsibility. You are responsible for having the rights you need to submit your content and to use, distribute or sell anything you make with the Service.

What you may not do

  • Break the law or infringe anyone's intellectual property, privacy or other rights.
  • Create malware or anything designed to harm people, computers or data.
  • Copy another company's code, interface artwork, presets or trademarks, or present an instrument or effect as another company's product. Making something that sounds similar to another instrument is fine.
  • Get around usage limits, for example by creating extra accounts.
  • Bypass copy protection or licensing, in the Service or in anyone else's software.
  • Attack, overload, scrape or try to gain unauthorized access to the Service, or reverse engineer it except where the law allows.
  • Use the Service or its outputs to build a competing AI model or service.
  • Break the usage rules of the AI providers we use.
  • Use the Service if you are in a country under comprehensive US sanctions or are on a US government list of restricted parties.

AI and build limitations

The Service relies on AI and automated systems. Outputs may be incomplete, wrong, insecure, unoriginal, not work as expected, or be unsuitable for what you want. Test outputs before you rely on them, ship them or distribute them. We don't promise that outputs are original, free of others' rights, fit for a particular purpose, ready for production, or free of security problems.

Studio 56's intellectual property

Apart from your content and outputs as described above, Studio 56 and its licensors own the Service, including our software, sound blocks, branding, interface designs and documentation.

Suspension and termination

You can stop using the Service and delete your account at any time. We may suspend or close your account if you break these Terms, don't pay what you owe, create legal or security risk, or misuse the Service. Where reasonable, we will tell you first and give you a chance to fix the problem. If we close a paid account without cause, we will refund the unused part of your current month. Sections that by their nature should continue, such as ownership, payment, disclaimers, limits of liability and disputes, continue after your account ends.

Disclaimer

TO THE FULLEST EXTENT THE LAW ALLOWS, THE SERVICE AND OUTPUTS ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NON-INFRINGEMENT.

Limitation of liability

TO THE FULLEST EXTENT THE LAW ALLOWS, STUDIO 56 AND ITS AFFILIATES, LICENSORS AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA OR GOODWILL, ARISING FROM OR RELATING TO THE SERVICE OR THESE TERMS. OUR TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF THE AMOUNT YOU PAID US IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR US $100.

These limits don't apply to liability that the law does not allow us to limit, such as liability for fraud, or for death or personal injury caused by our negligence.

Indemnity

To the extent the law allows, you will defend and compensate Studio 56 and its affiliates, licensors and service providers against third-party claims, and the resulting losses and reasonable legal costs, caused by your content, your outputs or your breach of these Terms.

Disputes and governing law

If you have a problem with the Service, please contact us first so we can try to resolve it informally within 30 days. California law governs these Terms, without regard to its conflict-of-laws rules. Any dispute will be decided in the state or federal courts located in Santa Clara County, California, and you and Studio 56 agree to those courts' jurisdiction. Either of us may instead bring an individual claim in small claims court. If you are a consumer outside the United States, you may also bring a claim in the courts where you live, and the laws of that country that protect consumers still apply to you.

Changes to these Terms

We may change these Terms. When we do, we post the new version on this page and change the date at the top, and it applies from that date. If you don't agree to a change, you can cancel and stop using the Service. If you keep using the Service after a change, the updated Terms apply. A change to the disputes section will not apply to a dispute we already know about.

General

These Terms, together with the Privacy Policy and any terms shown for a specific feature or offer, are the whole agreement between you and Studio 56 about the Service. If a court finds part of these Terms unenforceable, the rest stays in effect. If we don't enforce a right straight away, we don't give it up. You may not transfer these Terms to someone else; we may transfer them as part of a merger, acquisition or sale of our business. We may send you notices by email to the address on your account.
